Due Diligence
A diligence report can be a regular one as required by RBI /Banks from the existing borrowers or it can be a one-time affair depending upon the corporate action undertaken by a company.
The regular diligence report is primarily for half-year where it carries the confirmation on the following aspects:
- Change in Board of Directors, Change in Shareholders
- Any alteration in Memorandum of Association or Articles of Association
- Related parties transactions as entered by the Company
- Loans, Investment, Guarantees entered with other body corporates
- The amount borrowed by the Company from Directors, Members, Financial Institutions
- Default if any against the repayment obligations of the company including its board
- Status of charges filed by the company and changes if any
- Transaction of Forex done by the company
- Issuance of any new securities, warrants, preference shares, etc
- Status of insurance, payment of statutory dues, and so on.

Corporate Action
On the other side Due diligence for a specific action is done keeping in mind the purpose of corporate action whether new investment coming in (JV, acquisition, Takeover, Merger, Demerger, etc), the new instrument being floated (ECB, QIP, ADR, GDR, IPO, etc.), new business is initiated. All these corporate actions require exhaustive diligence into the affairs of the company & coming out with an information memorandum or report which helps the third party to take a decision on the corporate action.
